Cingular reserves the unilateral right to amend, modify or terminate benefit plans for any reason at any time, retroactively or prospectively, subject only to applicable provisions of any collective bargaining agreement. Any changes or modifications can be applied all participants or only to certain groups, such as former employees or retirees. This right also includes the ability to change the amount of any required employee, former employee, dependent survivor or retiree contributions or premiums or any deductibles or copayments for any type of benefits whether before or after the date of any employee’s retirement. These changes may also be applicable to employees in Non-Bargained Retiree Medical Transition Groups as those employees are not vested in any particular level of benefits or contributions. Nothing herein shall be deemed or construed as a lifetime right to any benefits (or level of benefits) or to the continuation of any plan, benefit or program merely by reason of the fact that such plan, benefit or program was in existence at the time of such individual’s retirement.
